Appointment.com, LLC – Master Terms of Service

1. The Architecture (Definitions)
- Appointment refers to Appointment.com, LLC.
- Service means the scheduling platform, APIs, browser extensions, and any AI-driven features (e.g., automated summaries).
- Customer is the account owner (the "Host").
- Customer Marks means the Customer's name, logos, and trademarks.
- Invitee is the guest booking through a Customer's link.
- Usage Data means aggregated, de-identified data regarding how the Service is used. Appointment owns all Usage Data.
2. Customer Terms: Accounts & Responsibilities
2.1 Account Authority. If you open an account on behalf of a company, you represent that you have the authority to bind that entity. You are responsible for all activity under your account, including actions by Authorized Users (employees/contractors).
2.2 Feedback License. You grant Appointment an unlimited, perpetual, irrevocable license to use any suggestions or feedback you provide without any obligation to compensate you.
2.3 Confidentiality. During your use of the Service, you may have access to Confidential Information of Appointment. You agree to use a reasonable degree of care to protect it and not disclose it to third parties.
3. Licenses & Publicity Rights
3.1 Service License. Appointment grants Customer a limited, non-transferable license to use the Service.
3.2 Marketing & Logo Use. By using the Service, Customer grants Appointment.com, LLC a non-exclusive, royalty-free, worldwide license to use Customer Marks on Appointment's website, in marketing materials, and sales collateral to identify Customer as a user of the Service. Customer may opt out of this publicity license by providing written notice to legal@appointment.com.
3.3 User Content License. Customer grants Appointment a license to host, copy, and display their content solely to provide the Service.
4. Invitee Terms: The Guest Experience
4.1 No Agency. Appointment is a passive conduit for scheduling. We do not employ, vet, or endorse Customers. Any dispute regarding the quality of a meeting or a no-show is strictly between the Invitee and the Customer.
4.2 Age Requirements. The Service is not intended for children. By using a scheduling link, the Invitee represents they are at least 18 years of age (or the age of majority in their jurisdiction).
4.3 Communications. By entering a phone number or email, the Invitee consents to receive automated transactional messages (confirmations/reminders). Invitees can opt out of SMS by replying "STOP." Appointment is not responsible for any SMS or data charges incurred.
5. Username Reclamation & Brand Protection
5.1 Ownership. You acknowledge that your URL (e.g., appointment.com/yourbrand) is a license, not a property right.
5.2 Reclamation Rights.
Appointment reserves the right to reclaim, re-assign, or change any username at its sole discretion. Specific triggers include:
- Trademark Infringement: receipt of a valid Notice of Infringement from a trademark holder.
- Inactivity: no account login for 120 consecutive days.
- System Integrity: to prevent username squatting or for business reorganization.
5.3 Notice of Reclamation. While we reserve absolute discretion, we will attempt to provide 7 days' notice via your registered email before reclaiming an active username for business purposes (except in cases of illegal activity or trademark violations).
6. Fees & the "Super-Freemium" Model
6.1 Free-to-Paid Transition. Appointment is currently a super-freemium application. If we introduce paid features, we will provide 30 days' notice before applying any charges.
6.2 No Refunds. Once paid features are introduced, all payments will be non-refundable except as required by law or as expressly stated in a specific refund policy.
7. Indemnification (the "Shield")
You agree to defend, indemnify, and hold harmless Appointment.com, LLC and its officers from third-party claims, damages, or legal fees arising from: your User Content (e.g., if you upload copyrighted material); your breach of these Terms or the AUP; or any disputes or physical/financial harm resulting from a meeting scheduled via the Service.
8. Dispute Resolution: Utah Venue
8.1 Arbitration. Any dispute shall be settled by binding arbitration in Salt Lake City, Utah, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.
8.2 Class Action Waiver. YOU AGREE TO RESOLVE DISPUTES ONLY ON AN INDIVIDUAL BASIS. You waive any right to participate in a class-action lawsuit or class-wide arbitration.
8.3 Limitation of Liability. To the maximum extent permitted by law, Appointment's liability is capped at $100.00 USD or the total fees you paid us in the last 12 months, whichever is greater.
9. General Provisions
Force Majeure: Appointment is not liable for outages caused by Acts of God, war, or internet-wide infrastructure failure.
Survival: Sections regarding IP, indemnity, liability, and disputes survive the termination of your account.
Entire Agreement: These terms (and the linked AUP/DPA) constitute the entire agreement and supersede all prior discussions.
Module B: Acceptable Use Policy (AUP)
This is the Rules of the Road that Appointment.com, LLC enforces to keep the platform safe. You shall NOT use Appointment to:
- Phishing/Scamming: Create links to deceive users into providing passwords or financial data.
- Abusive Messaging: Send spam invites or use the Service to harass individuals.
- Reverse Engineering: Attempt to copy the source code or scrape the database.
- Resource Abuse: Use bots or scripts that impose an unreasonable load on our servers (e.g., attempting to book 10,000 slots per second).
- Illegal Content: Host or link to content that is defamatory, obscene, or promotes illegal acts.

Module C: Data Processing Addendum (DPA)
This is the enterprise-grade data protection agreement businesses may request before trusting you with their clients' information.
1. Roles and Scope
The Parties: The Customer is the Controller (the boss of the data) and Appointment is the Processor / Service Provider.
The Data: This DPA applies to all personal data Appointment processes on behalf of the Customer to provide the scheduling service (e.g., Invitee names, emails, meeting notes).
2. Data Protection Compliance (GDPR/CCPA/UCPA)
2.1 Instructions: Appointment shall process personal data only on the documented instructions of the Customer (which include providing the Service as described in the TOS).
2.2 Service Provider Status: Appointment shall not sell or share personal data. We will not retain, use, or disclose personal data for any purpose other than the specific business purpose of providing the Service.
2.3 Sensitive Data: Customer agrees not to use the Service to collect Sensitive Data (Social Security numbers, health records, etc.) unless specifically agreed upon in a separate Business Associate Agreement (BAA).
3. Security & Audits
3.1 Technical Measures: Appointment shall implement commercially reasonable technical and organizational measures (encryption at rest, TLS in transit, multi-factor authentication for staff).
3.2 Breach Notification: Appointment will notify the Customer without undue delay (and in no event later than 72 hours) after becoming aware of a Personal Data Breach affecting the Customer's data.
3.3 Audit Rights: Once per year, upon written request, Appointment will provide a summary of its most recent security audit or SOC 2 report (if applicable) to demonstrate compliance.
4. Sub-processors
4.1 General Authorization: Customer provides general authorization for Appointment to use sub-processors (e.g., AWS for hosting, SendGrid for emails).
4.2 Notification of Change: Appointment will maintain an online list of sub-processors and will provide the Customer with 30 days' notice before adding a new sub-processor, giving the Customer a right to object on reasonable privacy grounds.
5. Data Subject Rights (Invitee Requests)
If an Invitee contacts Appointment directly to exercise their Right to be Forgotten or Right to Access, Appointment will redirect that request to the Customer. Appointment will provide the Customer with tools necessary to fulfill these requests within the app (e.g., a Delete Invitee Data button).
